Fiscal Council
According to the Brazilian corporation law, the fiscal council is an independent management body from the Company and external auditors. The fiscal council may be permanent or not. If the fiscal council is not permanent it shall be installed by the request of shareholders representing at least two percent of the voting shares, and will hold office till the first Annual General Meeting after its installation.
The main responsibilities of the fiscal council are to audit Heringer’s management, review the Company’s financial statements and report their conclusions to the Company’s shareholders. The Brazilian corporation law requires that the fiscal council members shall receive remuneration not lower than 10% of the average remuneration of the board of directors. It also requires that the Fiscal Council be composed of at least three and at most five members and their respective alternate members.

He earned a bachelor’s degree in Economics from Pontifical Catholic University (PUC-SP) and an MBA-EDP from Indiana University. He is a General Director at Cantagalo General Grains and Managing Partner at Serez Capital. He has 31 years of extensive experience in general management, financial management, risk management, supply chain, and operations in agribusiness. He is a Senior Finance Executive with proven experience in Debt and Capital Markets, tax planning and development, and extensive experience in all aspects of accounting (US GAAP, IFRS, local CPA), audit, tax, credit, ERP implementation, and financial analysis. He has worked as Chief Financial Officer (CFO) and held the position of Finance Director at Grupo Fischer – leader in the orange juice business (Citrosuco) and in the maritime transportation business (Aliança / CBO); ADM (Archer Daniels Midland Company) leading LATAM’s financial and Business Development and acting as a Director in several joint ventures; Crystalsev – Brazil’s second largest business company of sugar, ethanol, and energy; Santher – Brazil’s largest tissue paper operator; J. Macedo – Brazil’s third largest wheat mill; Nidera – responsible for the financial office of the Americas, and Cantagalo General Grains as a CEO and CFO. He was also the main trader at Rabobank and Credit Lyonnais (BFB).
He earned a bachelor’s degree in Accounting from Victorian College of Accounting and a graduate degree in Accounting and Public Audit. He was a member of the Fiscal Council of Companhia Fertilizantes Heringer from May 2010 to April 2022, and an alternate member of that same Fiscal Council from May 2008 to March 2010. He worked as an Accounting Classifier III at Fertilizantes Heringer Ltda. from April 1999 to July 1999. He is an alternate member of the Fiscal Council of SEBRAE/ES, as a representative of the Agriculture Federation (FAES), with a term of office between 2019 and 2023. He is an alternate judge of the Commerce Registry of the Espírito Santo State (JUCEES), as a representative of the Agriculture Federation (FAES), with a term of office between 2019 and 2023. He works as an expert appointed by the judges at the State Treasury Court and the 3rd Family Court of Vitória. He is a partner of Supremo Escritório de Contabilidade Ltda.
Mr. Oliveira earned a bachelor’s degree in Business Administration from Universidade São Marcos (Paulínia-SP) and a graduate degree in Financial Economics from Unicamp. He has more than 15 years of experience in management, consulting, and bidding positions, involving controllership, financial management, and people management activities, having worked at companies such as Camaro Transportes, União Transportes, Consulcorp, Prime Assessoria, NextMax, and CCM-X. Since 2012, he has been working at his company providing Administrative and Financial Advisory to clients in diverse segments and of various sizes.
He earned a bachelor’s degree in Economics from the Political and Economic Sciences School of Rio de Janeiro, an MBA in Business Management from FGV/ISAE, and an MBA in Financial Management, Controllership, and Audit from FGV/IDE. He is an executive with more than 25 years of experience in the Finance and Controllership area, having worked in Brazilian and multinational publicly and privately held companies with defined or family control or Private Equity investment fund, having started his career at Arthur Andersen. After that, he worked as an entrepreneur leading family businesses. Then, we worked at LG.Philips as a Controller, and at Samsung Electronics, where he held several Finance leadership positions in the Brazil operations. He was a Controller and CFO Deputy at Santher, and a Finance and Controllership Director (CFO) at Cromex, responsible for the Financial and Controllership duties. He was a Chief Financial Officer (CFO) at the holding companies Formitex, Odilon Santos, and Cassis Capital, being responsible for the corporate finances of those groups and their subsidiaries. He worked as a Chief Financial Officer (CFO) at Grano Alimentos, an investee of the Arlon Capital Partners Private Equity fund, and is currently the Chief Financial Officer (CFO) at Radha Brasil, the publishing company of the Seleções magazine.
He earned a bachelor’s degree in Accounting from the University of Vila Velha. He is the HR department manager at Perini&Gastalho Contabilidade Ltda. He is specialized in financial controls, audit support, and accounting reconciliations.
